Kinstellar advises Nidec on the Slovak law aspects of the US$1.08 billion acquisition of Embraco

May 2018 – Kinstellar has advised Nidec Corporation, a leading Japanese manufacturer of electric motors, on the Slovak law aspects of the acquisition of the Brazilian compressor business, Embraco, from Whirlpool Corporation for US$1.08 billion in cash. Sidley Austin has served as global legal counsel to Nidec Corporation.

Embraco, headquartered in Brazil, has been a Whirlpool majority-owned business unit since 1997. The business has a workforce of approximately 11,000 employees across eight global manufacturing facilities located in Brazil, Italy, China, Slovakia and Mexico. Embraco also maintains commercial offices in the United States and Russia.

The transaction is expected to be finalised in early 2019, subject to regulatory approvals and other customary closing conditions.

Kinstellar also advised Nidec in 2017 on the acquisition of Leroy-Somer and Control Techniques (in the Czech Republic, Hungary and Romania) from Emerson Electric Co. Motors, a US provider of products and services for a wide range of industrial, commercial and consumer markets.
