Kinstellar advises shareholders of ROFA Industrial Automation on the sale of ROFA Group to SPIE

March 2026 – Kinstellar is advising the shareholders of ROFA Industrial Automation on the sale of the German ROFA Group to the listed French SPIE Group.

ROFA Industrial Automation (ROFA), headquartered in Bavaria, is a leading provider of automation technology, intralogistics solutions, and special‑purpose machinery with operations in China, Austria, Hungary, Romania, the Netherlands, Poland, and the United States. ROFA’s portfolio covers the full project lifecycle, from consulting and software/hardware engineering to manufacturing, commissioning, and after-sales services.

By acquiring ROFA, SPIE aims to strengthen its strategic position in the German industrial services market. The transaction remains subject to antitrust approval.

With more than 1,200 employees, ROFA generated global revenues of approximately EUR 430 million in 2025, together with its various domestic and international subsidiaries. Founded in 1967, ROFA has developed from a regional provider of conveyor technology into an internationally active system integrator, supporting predominantly German clients worldwide, particularly in the logistics, automotive, food, retail, and healthcare sectors.

The SPIE Group is listed on Euronext Paris and is a European market leader in multi-technical services in the energy and communications sectors. With approximately 55,000 employees worldwide, SPIE generated consolidated revenues of EUR 9.9 billion in 2024.

The Kinstellar team is providing legal advice on the Austrian, Hungarian, and Romanian aspects of the transaction in an integrated team with German law firm SZA Schilling, Zutt & Anschütz. The Kinstellar team is led by Philipp Kapl (Partner) and Johannes Varga (Senior Associate) from our Austrian office and includes Gábor Gelencsér (Partner), Katalin Nógradi (Senior Associate) and Fanni Oroszi (Senior Associate) in Hungary, as well as Rusandra Sandu (Partner), Luiza Bedros (Partner) and Cristina Stamboli (Counsel) in Romania.
