Junior Associate/Associate I General Corporate – Kazakhstan
We are looking for a Junior Associate (1–2 years experience) and / or an Associate (3+ years of experience) with excellent skills in General Corporate legal area to join our team in our Almaty office.

Under the guidance of experienced colleagues, you will continuously develop your skills and expertise, supported by ongoing training and professional growth opportunities.
Responsibilities include:
- Advising clients on general corporate and commercial law matters;
- Drafting, reviewing, and negotiating a wide range of commercial agreements;
- Advising on corporate governance, shareholders’ rights, board matters, and directors’ duties;
- Advising on corporate, commercial, and industry-specific regulatory and compliance matters, including licensing, permits, reporting obligations, anti-corruption and sanctions frameworks;
- Supporting M&A transactions, joint ventures, share and asset deals, including drafting and negotiating transaction documents (e.g. SPAs, APAs, disclosure letters);
- Conducting and managing legal due diligence processes, identifying risks, and preparing due diligence and risk assessment reports;
- Managing and coordinating legal aspects of transactions from inception through closing and post-closing implementation;
- Assisting with company incorporations, branch and representative office registrations, reorganisations, restructurings, spin-offs, liquidations, and ongoing corporate maintenance;
- Advising international clients on local legal requirements and foreign investment structuring;
- Coordinating cross-border matters and collaborating with international offices;
- Liaising with clients, counterparties, state authorities, regulatory bodies, and other stakeholders;
- Supporting clients in risk assessment and mitigation strategies;
- Managing multiple corporate matters independently and acting as a key point of contact for clients;
- Working closely with partners and cross-functional teams (finance, tax, employment, etc.);
- Supervising junior lawyers;
- Engaging in business development initiatives and maintaining strong client relationships;
- Fulfilling other tasks as assigned by company management.
The ideal candidate will meet the following criteria:
- Law degree from a reputable university;
- Qualified lawyer with experience in general corporate projects, ideally at an international or major domestic law firm;
- Experience advising on corporate governance, shareholders’ rights, and board matters;
- Experience in drafting, reviewing, and negotiating a wide range of commercial agreements;
- Experience supporting M&A transactions, including cross-border transactions; joint ventures, and corporate restructurings;
- Solid understanding of corporate, commercial, and regulatory frameworks;
- Strong academic background and work ethic;
- Full professional proficiency in English;
- Excellent drafting, negotiation, and analytical skills;
- Strong communication and client management skills;
- Exceptional time-management, prioritization, organizational, and problem-solving skills;
- Ability to handle multiple legal matters in a demanding work environment;
- Can-do attitude, high level of integrity, and intellectual curiosity;
- Proactive and self-starter attitude;
- Team player with a passion for excellence.
