Kinstellar advises FMS-Wertmanagement AöR on the sale of a USD multimillion debt owed by a Ukrainian real estate business
September 2019 – Kinstellar has acted as Ukrainian legal counsel to FMS-Wertmanagement AöR, a German federal institution established to wind up the risk positions of Hypo Real Estate Holding, in connection with the sale of the debt owed by a shopping mall in downtown Kyiv under a USD 140 million credit facility agreement.
The loan had the benefit of an extensive security package that included pledges over the shares, assets, revenue streams and bank accounts of the property companies. Kinstellar was in charge of the vendor’s due diligence on the asset and existing Ukrainian law security documents, and the subsequent assignment of Ukrainian security interests to the purchaser.
