Kinstellar advises Infosys on the EUR 30 million acquisition of GuideVision

September 2020 – Kinstellar has successfully advised Infosys, a global leader in next-generation digital services, on the Czech and Hungarian aspects of the acquisition of GuideVision, a leading ServiceNow Elite partner in Europe. Other international legal advisors involved in the transaction were Osborne Clarke in the Netherlands, United Kingdom and Germany, DLK in Poland, Castren & Snellman in Finland, and Sorainen in Belarus.

For two years in a row (2019 and 2020), Infosys has been recognised by ServiceNow as ServiceNow Global Service Provider Partner of the Year. ServiceNow is one of the fastest-growing enterprise software companies. It has become an “essential service” and workflow standard for organizations.

The acquisition is expected to close during the third quarter of fiscal 2021, subject to customary closing conditions.

Kinstellar advised Infosys with regard to the Czech and Hungarian law aspects of the transaction, in particular on corporate, intellectual property and employment laws and data protection.

The Kinstellar team was led by Counsel Zdeněk Kučera and was supported by Petra Ledvinková and Ladislava Jasanská (Senior Associates), Martina Mazůrková (Associate), and Štěpánka Havlíková (Junior Associate). Corporate matters were handled by Jan Juroška (Partner) and Matěj Večeřa (Junior Associate). The team in Hungary was headed by Zsombor Orbán (Managing Associate), with support from Dániel Péter (Associate). Infosys’ legal team included Inderpreet Sawhney, Abhishek Sharma and Subodh Sista.

“We are happy that we could support Infosys expansion in Europe. All teams worked very closely together, coordinated by the Infosys legal team, which was pleasure to work with,” said Zdeněk Kučera.
